Agreement to these terms
These Terms of Use (“Terms”) govern your access to and use of Toolbench by Aaffiliates (“Toolbench”, “we”, “us”, “our”), including our website, browser-based tools, and related services (collectively, the “Service”). By using the Service, you agree to these Terms and to our Privacy policy. If you do not agree, do not use the Service.
Eligibility and accounts
You must be old enough to form a binding contract where you live (and at least the age required by applicable law for the Service). Some features work without an account; others may require you to register or sign in. You agree to provide accurate information and to keep your credentials confidential. You are responsible for activity under your account unless you notify us promptly of unauthorized use.
The Service and acceptable use
We offer browser-based utilities such as converters, editors, and productivity helpers. Many tools run on your device; server-backed features operate only where described in the product. You agree to use the Service only in compliance with applicable laws and these Terms.
You agree not to:
- Use the Service to violate any law, infringe intellectual property or other rights, or distribute malware, spam, or harmful content;
- Attempt to probe, scan, or test the vulnerability of our systems, or bypass or circumvent security, rate limits, or access controls;
- Reverse engineer, decompile, or disassemble the Service except where applicable law expressly permits despite this limitation;
- Use automated means (including bots or scrapers) in a way that overloads the Service, harvests data without permission, or interferes with other users;
- Misrepresent your identity, impersonate others, or use the Service to phish, harass, or abuse others;
- Use short links or other features to disguise unlawful, fraudulent, or deceptive destinations, or to evade abuse detection.
We may investigate suspected abuse, suspend or terminate access, remove content or links, or cooperate with law enforcement when we believe it is necessary to protect the Service, users, or the public.
Content and intellectual property
You retain ownership of files and content you process with Toolbench. You represent that you have all rights and permissions needed for that content and that your use does not violate third-party rights. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display your content only as reasonably necessary to provide and improve the Service and to comply with law.
The Service, including its design, branding, software, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not use our trademarks or branding without prior written permission.
Optional paid features
We may offer optional paid tiers, subscriptions, or one-time purchases (for example, VIP or similar benefits). Fees, billing cycles, renewal, cancellation, and refunds—if any—are presented at purchase or in your account area. If you fail to pay when due, we may suspend paid features. Taxes may apply based on your location.
Advertising
The Service may be supported by advertising. Third-party ad partners may use cookies or similar technologies subject to their policies and any choices we offer. Your use of ad blockers or privacy tools may affect how ads display but does not change these Terms unless we say otherwise.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT OUTPUTS (SUCH AS CONVERTED FILES OR SHORT LINKS) WILL BE ACCURATE OR SUITABLE FOR YOUR NEEDS. YOU USE THE SERVICE AT YOUR OWN RISK AND SHOULD KEEP BACKUPS OF IMPORTANT FILES.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (OR THE EQUIVALENT IN LOCAL CURRENCY), IF YOU HAVE NOT PAID US ANYTHING.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.
Indemnity
You will defend and indemnify us and our affiliates against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, for conduct that we believe violates these Terms, creates risk or legal exposure, or for operational reasons. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnity, and dispute terms) will survive termination.
Changes
We may modify the Service or these Terms. We will post updated Terms on this page and update the “Last updated” date. If a change is material, we will take reasonable steps to notify you (for example, via the site or email). Your continued use after the effective date of changes constitutes acceptance of the revised Terms where permitted by law. If you do not agree, you must stop using the Service.
Governing law and disputes
These Terms are governed by applicable law without regard to conflict-of-law principles, except where mandatory consumer protections in your country of residence require otherwise. You and we agree that courts in a competent jurisdiction may hear disputes, unless mandatory law gives you the right to bring claims in your home courts.
General
These Terms, together with the Privacy policy and any feature-specific terms presented in the product, constitute the entire agreement between you and us regarding the Service. If any provision is held invalid, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
